In a significant strategic realignment, aerospace giant Boeing (BA) is divesting three of its subsidiaries to Archer Aviation (ACHR), a pioneering startup focused on electric vertical take-off and landing (eVTOL) aircraft. This move sees Boeing acquire a substantial stake in Archer, signaling a sharper focus on its core commercial airplanes, defense, and space operations.
The transaction involves Boeing transferring Wisk Aero, SkyGrid, and Insitu to Archer. Wisk Aero has been at the forefront of developing autonomous eVTOL technology, while SkyGrid specializes in sophisticated air traffic management systems crucial for the burgeoning urban air mobility sector. The third subsidiary, Insitu, is renowned for its high-altitude drones, which have seen deployment globally, including by the U.S. Navy, and will significantly bolster Archer's military portfolio.
Boeing’s stake in Archer will comprise 19.75% of the company's Class A shares, with additional options to purchase more shares over the next four years, as detailed in a recent regulatory filing. Following the announcement, Archer Aviation's shares experienced a notable surge, gaining almost 12% on Monday.

Brian Yutko, Boeing vice president of commercial airplanes product development, commented on the deal's benefits: "This allows Wisk, SkyGrid and Insitu to accelerate capability development and time to market while ensuring Boeing capitalizes on its investments in these technologies over the past two decades through continued development in our core businesses."
For Archer, the acquisition significantly strengthens its technological base for eVTOL development and the essential networks required to support them. Archer CEO Adam Goldstein emphasized the transformative nature of the deal, stating, "This is the next big step forward in becoming a diversified platform, rapidly growing our revenue base and bringing scale to our business." Archer is aggressively targeting commercial eVTOL flights as early as the end of this year or early next, aiming to establish a dominant presence as urban air taxis begin operations across the U.S.

This transaction aligns perfectly with Boeing CEO Kelly Ortberg's vision for the company since assuming leadership in August 2024. Ortberg has consistently stressed the importance of streamlining operations and refocusing on Boeing’s three primary businesses. He articulated this strategy in October 2024, stating, "We need to reset priorities and create a leaner, more focused organization." By divesting non-core assets, Boeing aims to enhance profitability and solidify its leadership in aerospace manufacturing.
Both companies are poised to gain substantially from this agreement, with Archer securing cutting-edge technology and market position, and Boeing optimizing its portfolio for future growth in its core sectors.
