Shares of Northern Star Resources surged after the Australian gold mining giant definitively rejected a compelling $27.15 billion takeover proposal from South Africa’s Gold Fields, branding the offer as "highly opportunistic" and a significant undervaluation.
Northern Star, recognized as Australia's largest gold miner by market capitalization, saw its stock price climb by 6.15% by market close on Monday. This gain came after an impressive intraday jump of over 9%, signaling strong investor support for the company's decision to maintain its independence.

The unsolicited proposal from Gold Fields, received on September 14, outlined an acquisition of 100% of Northern Star. The offer was structured as 0.3125 Gold Fields shares plus A$7.25 for each Northern Star share. Initially, this valued Northern Star at a substantial A$38.7 billion ($27.15 billion), representing a 22% premium to its closing price on September 11. However, the implied value had dipped to A$36.1 billion by September 25, influenced by Gold Fields' fluctuating share price.
Northern Star's board, after careful consideration, unanimously decided to reject the proposition. Chairman Michael Chaney articulated the board’s stance, stating, "Gold Fields has sought to acquire one of the world's premier gold portfolios at a price that falls well short of what the Board considers to be its fundamental value and at a highly opportunistic time."
Further concerns were raised by Northern Star regarding the structure of the offer, primarily that a significant portion would be paid in Gold Fields shares, alongside the proposal being contingent on several conditions. The company communicated its decision to Gold Fields on Friday, confirming that further engagement on the proposal would not be deemed appropriate.
